Terms of Use · Loxley Transcriber & Recorder

Document version 1.1 · Published October 18, 2026

These Terms of Use ("Terms") are a binding agreement between you and Loxley Labs, LLC, a Colorado limited liability company ("Loxley Labs," "we," "us," or "our"), governing your purchase and use of the Loxley Transcription and Recorder application for Android, listed on Google Play as Loxley Transcriber & Recorder (the "App"). Each section begins with a short plain-language summary in italics. The summaries are a reading aid only; they are not part of the agreement, and the full section text controls.

1. Acceptance, eligibility, and scope

In short: you must be an adult, you accept these Terms by installing or using the App, and the App's call-recording notice is part of this agreement.

1.1. By installing or using the App, you accept these Terms. If you do not accept them, do not install or use the App.

1.2. You must be at least 18 years of age to purchase or use the App. The App is not directed to anyone under 18.

1.3. The call-recording notice presented inside the App, which you must accept before using the call-recording features, is incorporated into and forms part of these Terms.

1.4. These Terms govern the App. The loxleylabs.net website is governed by its own posted terms and privacy policy. Where you purchased the App through Google Play, your relationship with Google is governed separately by Google's terms; where you purchased through our website, the sale transaction is with our merchant of record as described in Section 3. Neither Google LLC nor Lemon Squeezy, LLC is a party to these Terms.

1.5. United States only. The App is offered for sale only to purchasers located in the United States, and our sales channels may decline orders that originate elsewhere. If a purchase is nonetheless completed from another jurisdiction, these Terms still apply, and any rights that the mandatory consumer law of that jurisdiction grants you and does not permit to be waived are unaffected.

2. The license

In short: you buy a license to use the App on your own devices, for yourself or your business. You own your data; we own the software.

2.1. Subject to these Terms and payment of the purchase price, Loxley Labs grants you a non-exclusive, non-transferable, non-sublicensable license to install and use the App, in object code form, on Android devices that you own or control, for your personal use or the internal use of your own business.

2.2. You may not: (a) copy the App except as reasonably necessary to use it or as permitted by law; (b) distribute, sell, rent, lease, lend, or sublicense the App; (c) modify, translate, or create derivative works of the App; (d) reverse engineer, decompile, or disassemble the App, except to the extent this restriction is prohibited by applicable law; or (e) remove or alter any proprietary notices. Nothing in this section limits the rights you have under the open-source licenses of the third-party components listed in the App's Open-source licenses screen; those components remain under their own licenses.

2.3. The App is licensed, not sold. Loxley Labs and its licensors retain all right, title, and interest in and to the App, including all intellectual property rights.

2.4. Your recordings belong to you. The recordings, transcripts, and other records you keep in the App are yours. They are stored only on your device (see the Privacy Policy), and you may export or delete them at any time using the App's built-in tools. The speech models installed with the App are provided by their authors under the licenses listed in the App.

3. Purchase channels and refunds

In short: buy through Google Play or through loxleylabs.net. You own it once you buy it, with no key to enter and no activation. Refunds follow the rules of the channel you bought through.

3.1. Google Play channel. If you purchased the App through Google Play, Google is the merchant of record for the transaction. Billing, taxes, and refunds for that purchase are handled under Google Play's terms and refund policies, not by Loxley Labs.

3.2. Website channel. If you purchased through loxleylabs.net, the checkout is operated by Lemon Squeezy, LLC as merchant of record. Lemon Squeezy handles billing, applicable taxes, and payment processing under its own terms, which are presented at checkout. After purchase you receive access to download the App. Refund requests for website purchases may be sent to support@loxleylabs.net and are processed through the merchant of record; any statutory refund rights you hold are unaffected.

3.3. No activation. The App is buy-once, own-it: there is no license key, no activation step, and no per-device sign-in. Once you have the App, it runs. The download you receive from our website is the complete App; the license terms in Section 2, including the limits on redistributing it, still apply even though nothing technically prevents copying it.

3.4. Updates. We may provide updates to the App at our discretion. Updates are covered by these Terms. We do not promise that updates will be provided for any period, or that any particular feature will be maintained, although we build our software to keep working offline indefinitely.

4. Recording laws and transcription accuracy

In short: recording people can require their consent, and following the law is up to you. Transcripts can be wrong; check them before you rely on them.

4.1. Consent to record. Recording a conversation, in person or on a phone call, may be illegal without the consent of the people recorded, depending on where you and they are located. Many US states and many countries require everyone to consent; others require only one person, and a call that crosses state or national lines can fall under more than one law. You are solely responsible for knowing and following the recording laws that apply to you and to anyone you record. When in doubt, get consent first, or do not record.

4.2. Phone calls. The App does not record phone calls. It can import and transcribe recordings made by your phone's own call recorder, after you accept the in-app call-recording notice. Section 4.1 applies to those recordings.

4.3. Not legal advice. The App and its notices do not provide legal advice, and nothing in them tells you which laws apply to you.

4.4. Transcription accuracy. Transcripts are made by speech models running on your phone. They can mishear, drop, or add words, attribute a line to the wrong speaker, and are written for English speech only. A transcript is not a certified or verbatim record. You are responsible for checking a transcript against the recording before you rely on it, and the recording is kept with it so you can.

5. Your responsibilities

In short: keep your records accurate and keep your own copies. There is no backup service.

5.1. You are responsible for the accuracy of the transcripts you keep in the App and for all decisions you make based on them.

5.2. Copies. Your recordings and transcripts live only on your device, and the App has no backup service. If you want protection against device loss, damage, or reset, use the App's export to keep copies elsewhere. Loxley Labs has no copy of your data and cannot recover it.

5.3. Exports. Exported audio and transcript files are unencrypted by design so that you and others you choose can open them. Storing and sharing them safely is your responsibility.

5.4. You will not use the App in violation of applicable law, including recording and privacy laws, and you will not redistribute, resell, or publish the App in violation of the license in Section 2.

6. Feedback

In short: if you send ideas, we can use them, and we don't have to pay for them.

6.1. If you send us suggestions or feedback about the App, you grant Loxley Labs a perpetual, irrevocable, worldwide, royalty-free license to use it for any purpose, without obligation or compensation to you. We will never gain rights over your recordings or transcripts this way; we never receive them (see the Privacy Policy).

7. Warranty disclaimer

In short: the App is provided as-is. If your local consumer law guarantees you more, that law wins.

7.1. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. Loxley Labs disclaims all warranties, whether express, implied, statutory, or otherwise, including the implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the App will be uninterrupted or error-free, that any transcript will be accurate, or that data will never be lost.

7.2. Consumer rights preserved. Some jurisdictions do not allow the exclusion of certain warranties or statutory guarantees in consumer contracts. Section 7.1 applies only to the extent permitted by applicable law, and you retain every right and guarantee that the law of your place of residence grants you and does not permit to be excluded.

8. Limitation of liability

In short: our total liability is capped at what you paid for the App, except where the law says a cap cannot apply.

8.1. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LOXLEY LABS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, LOSS OF PROFITS, OR COST OF SUBSTITUTE PRODUCTS, ARISING OUT OF OR RELATING TO THESE TERMS OR THE APP, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

8.2. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE AGGREGATE LIABILITY OF LOXLEY LABS ARISING OUT OF OR RELATING TO THESE TERMS OR THE APP WILL NOT EXCEED THE AMOUNT YOU ACTUALLY PAID FOR THE APP.

8.3. Exceptions. Nothing in these Terms excludes or limits liability for: (a) death or personal injury caused by negligence, where such liability cannot lawfully be excluded; (b) fraud or fraudulent misrepresentation; (c) gross negligence or willful misconduct; or (d) any other liability that applicable law does not permit to be excluded or limited. If you are a consumer, you retain all non-waivable statutory remedies. The limitations in this Section 8 apply only to the extent permitted by the law of your place of residence.

8.4. Each provision of Sections 7 and 8 allocates risk between the parties and is reflected in the price of the App; each is severable from the others and applies even if a remedy fails of its essential purpose.

9. Indemnification

In short: if your unlawful use of the App gets us sued, that's on you. Narrow and specific.

9.1. You will defend and indemnify Loxley Labs against third-party claims, and the reasonable costs of those claims, to the extent arising from (a) your material breach of these Terms or (b) your unlawful use of the App. This obligation does not apply to claims arising from our own breach, negligence, or misconduct, and, if you are a consumer, applies only to the extent permitted by applicable law.

10. Termination

In short: the license ends if you seriously break these Terms. Your local data stays on your device either way.

10.1. These Terms remain in effect until terminated. You may terminate at any time by uninstalling the App.

10.2. We may terminate your license if you materially breach these Terms (for example, by publicly distributing or reselling the App itself) and, where the breach is curable, you fail to cure it within 14 days of notice sent to a contact we have for you or displayed through the channel of breach.

10.3. Termination ends your license to use the App. It does not delete the data on your device, does not by itself entitle you to a refund, and does not affect refund rights you hold under Section 3 or applicable law. Sections 2.3, 4, 5, 6, 7, 8, 9, 10.3, 11, 12, and 13 survive termination.

11. Changes to these Terms

In short: changes are posted on our website with a new version number and date, and they never reach back to before they were posted.

11.1. We may revise these Terms from time to time. The current Terms are always available at loxleylabs.net/terms/transcriber, and each published version carries a version number and date. A revision applies from its posted date to versions of the App you install or update to after that date; it does not change the Terms that applied to your earlier use.

11.2. If you do not accept revised Terms, do not install updates published after them, or discontinue use of the App. Your refusal does not affect rights you have already accrued, and where applicable consumer law grants you additional remedies for material changes, those remedies are unaffected.

12. Dispute resolution and governing law

In short: email us first; most problems are fixable in days. Otherwise, Colorado courts, and small-claims court stays available to both of us. No forced arbitration.

12.1. Informal resolution first. Before filing a claim, you agree to contact us at support@loxleylabs.net with a description of the issue and give us 30 days to resolve it. We agree to do the same before filing a claim against you.

12.2. Courts. Any dispute arising out of or relating to these Terms or the App that is not resolved informally will be brought exclusively in the state or federal courts located in the State of Colorado, and each party consents to their jurisdiction, except that (a) either party may bring an individual action in small claims court in the county where you reside or where we are located, and (b) either party may seek injunctive relief for infringement or misuse of intellectual property in any court of competent jurisdiction.

12.3. Consumer venue and law override. If you are a consumer whose local law entitles you to sue or be sued in your home forum, or under your home jurisdiction's law, notwithstanding this Section, that entitlement is unaffected.

12.4. Governing law. These Terms are governed by the laws of the State of Colorado, without regard to its conflict-of-law rules, except where mandatory consumer protections of your place of residence apply instead. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

12.5. There is no arbitration clause in these Terms, and nothing in them waives your right to participate in a class action.

13. General

In short: standard closing provisions, and how to reach us.

13.1. Severability. If any provision of these Terms is held unenforceable, it will be enforced to the maximum extent permissible and the remaining provisions will remain in full force.

13.2. Entire agreement. These Terms, together with the in-app call-recording notice they incorporate and the Privacy Policy, are the entire agreement between you and Loxley Labs regarding the App, and supersede any prior agreements on that subject.

13.3. No waiver. A failure to enforce a provision is not a waiver of the right to enforce it later.

13.4. Assignment. You may not assign these Terms. We may assign them in connection with a merger, acquisition, or sale of substantially all of the assets of Loxley Labs, to a successor who assumes them.

13.5. Force majeure. We are not liable for delay or failure to perform caused by events beyond our reasonable control.

13.6. Export compliance. You represent that you are not prohibited from receiving the App under United States export control or sanctions laws, and you agree not to use or export it in violation of them.
